TERMS AND CONDITIONS
Receiving Party (Participant) Agreement
BGB Marketing is a marketing and advertising agency focusing on social media growth through sponsored giveaway campaigns. The Receiving Party has agreed to purchase services in a marketing campaign.
You agree to these terms and conditions when purchasing our giveaway services.
Participants, hosts, and clients purchasing our giveaway services are referred to as the Receiving Party below. If a Receiving Party goes against the rules stated below, they forfeit their spot in the campaign, IE: purchase, without access to any refund.
Terms are subject to Advertiser receiving all monetary compensation owed prior to the campaign beginning.
REFUNDS
B.G.B. Marketing (Bloggers Giving Back) reserves the right not to issue refunds. B.G.B. Marketing does not issue returns or refunds under any circumstances. We cannot guarantee the results you will receive when participating in a giveaway.
Advertiser reserves the right not to issue refunds. Advertiser does not issue returns or refunds under any circumstances. Receiving Party agrees not to file any chargeback or refund request of any kind through their payment processor. Receiving Party agrees and acknowledges the strict no-refund policy.
Advertiser cannot guarantee the number of followers the Receiving Party will receive when participating in a giveaway campaign. Estimated or anticipated gains, growth, or other metric, should not be taken or misunderstood as a guarantee. Estimated gains are strictly estimated based on a number of different and varying factors. Giveaway results cannot be guaranteed.
SHIPMENT
Bloggers Giving Back provides a digital service, not a physical product, therefore we do not offer tracking or shipping information.
PRIZES
Giveaway prizes, prize values, designers featured, and products as a part of the campaigns are not guaranteed and are subject to change at any time.
CAMPAIGN CHANGES
The Receiving Party understands and acknowledges that the start of every giveaway campaign is tentative and subject to change. This may be due to reasons including but not limited to, external factors that may affect the campaign such as issues with the Talent, current events, natural disasters, Instagram deleting the post, Talent deleting the post accidentally, war, terrorism, state of emergency, security issues, etc.
In the unlikely event that changes to the giveaway campaign are made, BGB Marketing will work with the Talent to resolve any issues. The Receiving Party understands this. If a giveaway campaign is published late, paused, or cancelled due to something out of our control, we will do our best to fix the situation at hand.
If Talent(s) cancels for any reason after already signing onto the campaign, BGB will work with a new Talent(s) to resolve campaign issues when and where possible. If BGB cannot find a new Talent in a timely manner, BGB will place Receiving Party into other campaigns worth the same monetary value; unless Receiving Party has violated Terms.
SOLICITING
The soliciting, contacting, messaging, etc. of all campaign participants, including but not limited to Talent, and other Receiving Parties, is prohibited. This includes for personal or business matters.
CONFIDENTIALITY
Receiving Party agrees that this Agreement and the terms hereof, as well as any and all information pertaining to Advertiser, its customers, clients, independent contractors, or affiliates, which Advertiser communicates to Receiving Party & Team, and designates as confidential shall be deemed confidential and proprietary information of Advertiser, Company, and Receiving Party shall not, either during or after the term hereof, disclose such confidential information to any other person or entity without Advertiser’s prior written consent.
All pricing, view guarantees, and performance metrics are considered confidential and will not be disclosed, discussed, or revealed to any other party except those allowed by this agreement.
INDEMNIFICATION
Receiving Party agrees to defend and indemnify Advertiser and any of its agents (if applicable) and hold Advertiser harmless against any and all legal claims and demands, including reasonable attorney’s fees, which may arise from or relate to Advertiser’s conduct or actions.
Receiving Party will not, either during or after the Term of this Agreement, disparage the Company, Advertiser, or any of its employees, customers, clients, or the quality, safety, or performance of the Company’s products and. services. The Receiving Party will not make any comment, statement, or take any action which could reasonably be expected to adversely affect the Company’s reputation, income, and/or business.
Receiving Party affirms that while performing the services hereunder they will do so in a professional manner in accordance with the highest standards in the industry and shall not make any misrepresentations regarding the Campaign, slanderous statements regarding any competing product or service, or use profanity or engage in obscene acts within the Promotions.
Offensive, rude, slanderous, damaging, defamatory statements, sharing of any BGB Marketing or Talent information practices, messages, emails, and/or conversations that could damage the reputation and business of BGB Marketing are prohibited. All shared documents are confidential material. Anything of this nature will result in the Receiving Party being removed from the giveaway campaign at any time, without refund.
DISPUTES
Receiving Party promises never to file a lawsuit, administrative complaint, or charge of any kind with any court, governmental or administrative agency or arbitrator against the Advertiser or its sponsors, Talent, clients, partners, agents, asserting any claims that are released in this Agreement. Receiving Party represents and agrees that, prior to the effective date of this
Agreement, Receiving Party has not filed or pursued any complaints, charges or lawsuits of any kind with any court, governmental or administrative agency or arbitrator against the Advertiser or its sponsors, clients, partners, or agents, asserting any claims that are released in this Agreement.
FORCE MAJEURE
The Parties are not liable for any failure to perform due to causes beyond their reasonable control including, but not limited to, acts of God, acts of civil authorities, acts of military authorities, riots, embargoes, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances.
BGB Marketing reserves the right to change, edit, and/or amend the Terms & Conditions set forth at any time, without announcement.
